Terms of service

These terms govern your use of RGS Solution, provided by RGS Technologies. By creating an account or using the service you agree to them.

1. What the service is

RGS Solution is a customer messaging platform built on the official WhatsApp Business Platform. We provide the software; Meta provides WhatsApp message delivery under its own terms, which you also agree to by connecting a WhatsApp Business account.

2. Your account

You are responsible for the accuracy of your account details, for keeping your credentials secure, and for what the people you invite into your workspace do with it. Tell us promptly if you believe an account has been compromised.

You must be legally able to enter into this agreement and to operate a business account on WhatsApp.

3. Acceptable use

You may not use the service to:

  • Send unsolicited bulk messages to people who have not opted in.
  • Send unlawful, fraudulent, deceptive, harassing or infringing content.
  • Break WhatsApp’s Business Messaging Policy or Commerce Policy.
  • Attempt to breach the security of the platform, or to access another workspace’s data.
  • Resell or white-label the service without a written agreement with us.

WhatsApp’s own policies apply to every message you send. Breaching them can get your number rate-limited or banned by Meta, which is a decision we cannot reverse on your behalf.

4. Free trial

Where offered, a free trial gives access to the full trial plan for a stated period, subject to the volume limits shown in the product. Those limits exist because an unmetered trial account is a free bulk-messaging relay, and one abusive sign-up damages WhatsApp delivery for every paying customer on the platform.

When a trial ends without a subscription, sending, campaigns, automations and the API stop. Nothing is deleted at that point: you keep sign-in, billing, invoices, payment and support, and everything in the workspace stays where it is.

Reactivation window. For a short window after expiry — stated in the product and in the email we send you — you can ask support to reopen the trial, or subscribe and carry on without interruption. After that window the workspace is scheduled for closure and we email you the date its content will be removed. Subscribing before that date stops it.

One trial per business. When a trial reaches final closure we keep a minimal record of the identity that used it — the confirmed email address, and where applicable the business phone number or WhatsApp Business Account id — so that the same business signing up again is offered a regular plan rather than a second trial. We do not use device fingerprinting or any tracking beyond the identifiers you gave us. If you believe a block is wrong, contact us: it can be lifted.

5. Fees and billing

Subscriptions are billed in advance on the anniversary of the date you subscribed. Your invoice is issued a set number of days before the due date and is payable by the due date.

Your billing date does not move. It is fixed on the day your paid subscription starts. An invoice due on 2 June and paid on 15 June is settled by that payment; the next invoice is still due on 2 July, not 15 July. Paying late settles an invoice — it does not buy a month from the day it was paid.

If you stop paying and later want to continue on the same account, with its conversations, history and settings intact, the outstanding invoices for that period must be settled first. Restoring an account restores the subscription it belonged to, on its original anniversary, which is why the months in between are payable. If you would rather not settle them, we can close the account and you may start again on a fresh subscription — the previous history does not carry over.

Where you pay by bank transfer, your payment is applied once we have confirmed receipt. A submitted payment is a claim, not a settlement: it is checked against our bank records first. While it is being checked your account is held open — including past the end of a trial or a grace period — with product features paused and billing and support available. Where card billing is enabled, payment is taken automatically on the due date.

Upgrades take effect immediately and are charged pro rata for the remainder of the current period. Downgrades take effect at the end of the period you have already paid for.

Prices may change with at least thirty days’ notice, and never mid-period. A negotiated rate agreed with us in writing overrides list pricing for as long as that agreement stands.

6. Late payment and suspension

If an invoice is unpaid after the grace period shown in your billing settings, we may suspend sending on the workspace. Suspension pauses the service; it does not delete anything. Access is restored once the balance is settled, normally within minutes.

While suspended you keep sign-in, billing, invoices, payment and receipt upload, support tickets, and the account details you need in order to pay or reach us. Messaging, campaigns, contact operations, automations, exports, the API and team management are paused. Settling the balance restores everything, on your original anniversary.

We will always have emailed you before a suspension takes effect.

7. Long-term non-payment and closure

An account that remains unpaid for the period stated in the product — three months by default — is moved toward permanent closure. We email you several times before anything is deleted, and every one of those emails names the final date. Paying the outstanding balance before that date restores the account in full.

On the final date, and only then: your WhatsApp Business Account is unsubscribed from our application at Meta; API keys, outbound webhooks and integration tokens are revoked; and the conversations, messages, media, contacts, campaigns, templates and automations belonging to the workspace are deleted. A backup is taken immediately beforehand and retained briefly, so a mistake can be corrected by contacting us quickly.

We keep the minimum required to meet our accounting and tax obligations — invoices, payments and ledger entries — and a minimal anti-abuse record of any free trial that was used. Nothing else about the workspace is retained. A scheduled deletion can be cancelled at any time before it runs.

8. Cancellation and refunds

You may cancel at any time. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We do not provide pro-rata refunds for the unused part of a period unless the law requires it.

You can export your data at any time before your access ends.

9. Your data

You own your data. We process it only to provide the service, as described in our privacy policy. We do not sell it and we do not use your customers’ conversations for our own purposes.

10. Availability

We work to keep the service available and reliable, but we do not warrant uninterrupted operation. Planned maintenance is announced in advance where possible. Delivery of WhatsApp messages depends on Meta’s infrastructure, which is outside our control.

11. Liability

To the fullest extent the law allows, our total liability arising out of the service in any twelve-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, lost profits, or lost business opportunity.

Nothing here excludes liability that cannot lawfully be excluded.

12. Termination by us

We may suspend or terminate an account that breaches these terms, that puts the platform or other customers at risk, or that remains unpaid well beyond its grace period. Except where the breach is serious, we will give you notice and a chance to put it right.

13. Changes to these terms

We may update these terms. Material changes will be notified by email at least thirty days before they take effect. Continuing to use the service after that means you accept them.

Account closure and data retention

What happens to an account that is never paid for, what is deleted, and what we keep.

Long-term non-payment

Stopping a scheduled deletion

A scheduled deletion can be cancelled at any time before it runs, by you settling the balance or by an administrator acting on your request. Once it has run it cannot be reversed beyond the short backup window.

Payments awaiting verification

What happens between submitting a bank transfer and it being confirmed.

While we check a payment

When you submit a bank transfer with a receipt, the payment is recorded as awaiting verification and your account moves to a holding state. In that state you can sign in, see and pay invoices, upload further receipts, and raise support tickets. Messaging, campaigns, automations, exports and the API stay paused until the payment is confirmed.

If your trial or grace period ends meanwhile

It does not matter. A payment submitted before the deadline holds the account open past it. Your account is not closed, suspended further, or deleted while a payment is genuinely awaiting review.

If the payment is confirmed

The invoice is settled, the plan is activated, and full access returns immediately. Your billing anniversary is set from the start of the paid subscription and does not move afterwards.

If the payment is rejected

You are told why. The account returns to the state it would otherwise have been in — expired trial, grace period, or suspended — and you can submit a corrected payment straight away.

Billing terms

How the billing anniversary works, why paying late never moves it, and what happens to an unpaid invoice.

Your billing anniversary

Your billing date is fixed on the day your paid subscription starts and does not move. If your subscription began on the 2nd, invoices fall due on the 2nd of each following month for as long as the account is active.

Paying late does not reset the date

If an invoice due on 2 June is paid on 15 June, the next invoice is still due on 2 July — not 15 July. Late payment settles the invoice; it does not buy a new month from the day it was paid, and it does not move your anniversary.

Returning after a gap

If you stop paying and later want to continue on the same account, with its conversations, history and settings intact, the outstanding invoices for that period must be settled first. Restoring an account restores the subscription it belonged to, on its original anniversary — which is why the months in between are payable. If you would rather not settle them, we can close the account and you may start again on a fresh subscription; the previous history does not carry over.

Grace period

An invoice that passes its due date enters a grace period. We keep reminding you during it and nothing is switched off. The length of the grace period is shown on your Billing page and in the reminder emails.

Suspension

If an invoice is still unpaid after the grace period, the account is suspended. During suspension you keep sign-in, billing, invoices, payment and receipt upload, support tickets, and the account details you need in order to pay or reach us. Messaging, campaigns, contact operations, automations, exports, the API, AI features and team management are paused. Settling the balance restores everything, on the original anniversary.

Manual payments

Where card payment is unavailable you can pay by bank transfer and upload the receipt. A submitted payment is a claim, not a settlement: it is checked against our bank records before it is applied. While it is being checked your account stays open — including past the end of a trial or a grace period — with product features paused and billing and support available. If a payment is rejected you are told why and the account returns to the state it was in.

Free trial terms

What a trial includes, how long it lasts, what happens when it ends, and why it is only offered once.

What the trial includes

A trial gives you the full product — every feature the trial plan sells is switched on — under conservative volume limits. The limits exist because an unmetered trial account is a free bulk-messaging relay, and one abusive sign-up damages WhatsApp delivery for every paying customer on the platform. Your current limits and how much of each you have used are always shown on the Billing page.

When the trial ends

At the end of the trial period, sending, campaigns, automations and the API stop. Nothing is deleted at that moment. You keep sign-in, billing, invoices, payment and support, and the workspace and all its content remain in place.

Reactivation window

For a short window after expiry — 24 hours by default — you can ask support to reactivate the trial, or start a regular plan and continue without interruption. After that window the workspace moves into the closure queue and we email you the date its content will be removed. You can stop that at any point before the date by subscribing.

One trial per business

A trial is offered once per business. When a trial reaches final closure we keep a minimal record of the identity that used it — the confirmed email address, and where applicable the business phone number or WhatsApp Business Account id — so that the same business signing up again is offered a regular plan rather than a second trial. We do not use device fingerprinting or any tracking beyond the identifiers you gave us. If you believe a block is wrong, contact support: an administrator can lift it.
